  3.                   SOFTWARE PRODUCTION AGREEMENT

  6. __________________________, referred to as SPONSOR, and 
  7. _________________________, referred to as DEVELOPER,  agree: 
  8.  
  9. SPONSOR desires to contract with DEVELOPER as an independent 
  10. contractor to create certain computer programming code. The 
  11. compensation set forth hereunder is the sole and exclusive 
  12. compensation to be paid to the DEVELOPER.  
  13.  
  14. SPONSOR shall be supervised by DEVELOPER solely as the result to 
  15. be accomplished, by not as to the means of achieving the result.
  16. The relationship between the DEVELOPER and the SPONSOR shall be 
  17. that of an independent contractor.

  20. DEVELOPER shall prepare computer source code in the __________ 
  21. language, in a form suitable for compilation by the __________
  22. _______ compiler  system, version ___, which will perform the
  23. following functions  for the ___________________ operating 
  24. system, version ___:

  29. DEVELOPER shall also provide "object" files and executable files, 
  30. together with example input and output of the program. The 
  31. program shall be accompanied by a complete manual, which manual 
  32. shall be sufficient to enable a user who is untrained in the 
  33. program to operate the program in its intended fashion.

  35. DEVELOPER warrants that it has the right to convey the 
  36. programming code, manuals and other items which the DEVELOPER 
  37. delivers to the SPONSOR and will defend the SPONSOR against any 
  38. adverse claims related thereto. DEVELOPER warrants that the 
  39. program does not infringe on any copyright, patent or other 
  40. agreement to which DEVELOPER is a party.

  42. SPONSOR provide such reasonable consultation with the DEVELOPER 
  43. as may be required herein. DEVELOPER shall provide its own 
  44. facilities.

  47. DEVELOPER warrants that the code is workmanlike and has been 
  48. properly tested in keeping with good software design practice. 
  49.

  51. DEVELOPER herewith assigns to SPONSOR all world rights related to 
  52. the software, including the right to publish the same. For 
  53. purposes of the copyright code, the DEVELOPER shall be considered 
  54. the author; however, upon request of the SPONSOR the DEVELOPER 
  55. will execute any and all documents requested by SPONSOR to effect 
  56.                            
  57. total transfer of the rights to the program.

  59. In the event that SPONSOR alters the program and re-distributes 
  60. the same, SPONSOR waives indemnity as to the re-distribution of 
  61. the code.

  63. Delivery of the final program shall be on or about __________,
  64. 199__. DEVELOPER shall notify SPONSOR at the earliest possible
  65. time that  the delivery schedule may not be met. The parties shall
  66. meet and  discuss in good faith arrangements to be made including
  67. possible  revision of the delivery date.

  69. DEVELOPER may during the performance of this agreement obtain 
  70. access to confidential and proprietary information of SPONSOR. 
  71. SPONSOR shall generally mark such information as to which it 
  72. claims that is proprietary as "confidential" or by other clearly 
  73. recognizable legend. As to such information the DEVELOPER shall 
  74. take all reasonable precautions to keep the same in strict 
  75. confidence. Upon termination of this agreement, all of such 
  76. information which is embodied in written form shall be returned 
  77. to SPONSOR. DEVELOPER shall reveal such information to its 
  78. employees only a strict need to know basis, and shall require 
  79. that such employees execute written non-disclosure agreements.
